1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Optimize the World's ("OW") decision intelligence platform and partnership services. By accessing or using OW services, you agree to be bound by these Terms.

OW operates as a decision partnership platform, not a traditional software-as-a-service provider. Our engagements are structured as collaborative partnerships focused on decision quality and institutional learning.

2. Nature of Services

2.1 Decision Partnership Model

  • OW provides decision intelligence services through structured partnership engagements, including:
  • Decision readiness assessment and baseline establishment
  • System modeling and optimization framework development
  • Scenario evaluation and decision support
  • Institutional learning and capability building

2.2 Case-Dependent Outcomes

  • OW does not guarantee specific numerical outcomes or performance improvements. Results are case-dependent and influenced by system complexity, data maturity, operational constraints, and institutional factors. Our commitment is to decision quality, not outcome promises.

3. Partnership Engagements

3.1 Engagement Structure

  • All OW partnerships begin with a 12-week Decision Readiness Phase, designed to:
  • Establish decision clarity and identify optimization potential
  • Create decision baselines and constraint models
  • Evaluate system readiness for scaling
  • Enable go/no-go decisions without long-term commitment

3.2 Engagement Tracks

  • OW offers three partnership tracks:
  • Exploration Track: Decision readiness phase with limited scope
  • Operational Partnership Track: Co-optimization with iterative improvement cycles
  • Strategic Alliance Track: Long-term institutional transformation
  • Specific terms, scope, and engagement structure are defined in individual partnership agreements.

4. Intellectual Property

4.1 OW Platform and Models

  • OW retains ownership of its decision intelligence platform, algorithms, models, and methodologies. Partners receive access to decision outputs, recommendations, and institutional learning materials as specified in partnership agreements.

4.2 Partner Data and Insights

  • Partners retain ownership of their operational data. Decision insights, models, and recommendations generated from partner data are jointly owned, with usage rights defined in partnership agreements.

5. Data and Confidentiality

Both parties agree to maintain confidentiality of:

Operational data and system information

Decision models and optimization frameworks

Institutional strategies and constraints

Partnership-specific insights and outcomes

Confidentiality obligations survive termination of the partnership agreement. See our Privacy Policy for detailed data handling practices.

6. Responsibilities and Warranties

6.1 Partner Responsibilities

  • Partners are responsible for:
  • Providing accurate, complete operational data
  • Ensuring data quality and accessibility
  • Participating in decision-making processes
  • Implementing recommendations within their operational constraints

6.2 OW Warranties

  • OW warrants that:
  • Services will be performed with professional competence
  • Decision models will be based on scientific methods and best practices
  • Platform security will meet enterprise-grade standards
  • OW does not warrant specific outcomes, performance improvements, or cost savings. Results are case-dependent and subject to operational constraints.

7. Limitation of Liability

To the maximum extent permitted by law:

OW's liability is limited to the total fees paid under the partnership agreement

OW is not liable for indirect, consequential, or incidental damages

OW is not liable for decisions made by partners based on OW recommendations

Partners are responsible for validating recommendations within their operational context

8. Termination

Either party may terminate a partnership engagement:

With 30 days written notice (after initial Decision Readiness Phase)

Immediately for material breach of agreement

As specified in individual partnership agreements

Upon termination, data retention and transition procedures are defined in partnership agreements.

9. Dispute Resolution

Disputes arising from partnership engagements will be resolved through:

Good faith negotiation between parties

Mediation by a mutually agreed mediator

Arbitration under applicable arbitration rules (if specified in partnership agreement)

10. Governing Law

These Terms are governed by the laws of the jurisdiction specified in individual partnership agreements. For general inquiries, applicable law is determined by OW's primary place of business.

11. Changes to Terms

OW may update these Terms to reflect changes in services or legal requirements. Material changes will be communicated to active partners. Continued use of services after changes constitutes acceptance of updated Terms.
